TERMS AND CONDITIONS

for using the CORTEX application and voluntarily supporting its operation

1. Introductory Provisions

1.1. These terms and conditions (the "Terms") of the provider Daniel Gavalec, a self-employed individual (sole trader), with registered office at Urxova 707/14, 637 00 Brno-Komín, Czech Republic, ID No. (IČO): 03094146, not a VAT payer (the "Provider"), govern, in accordance with Section 1751(1) of Act No. 89/2012 Coll., the Civil Code (the "Civil Code"), the mutual rights and obligations of the Provider and any natural or legal person (the "User") using the CORTEX web application available at www.getcortex.cz/app and getcortex.online/app, including its programming interface (API) (the "Service").

1.2. The Provider's contact e-mail is info@getcortex.cz. The Provider communicates with the User electronically, in particular by e-mail and in-app notifications.

1.3. Provisions deviating from these Terms may be agreed in writing. Deviating provisions take precedence over the Terms.

1.4. Persons under 15 may use the Service only with the consent of their legal guardian.

2. User Account and Conclusion of the Contract

2.1. The contract for the provision of the Service (the "Contract") is concluded when the registration is completed, i.e. when the registration form is submitted with acceptance of these Terms or upon the first sign-in with a Google account, and the user account is created. The Contract is concluded for an indefinite period and is free of charge.

2.2. The User must provide true information and use a working e-mail address; the Provider sends to it in particular password reset links, account deletion confirmations and security notices.

2.3. The User must protect their sign-in credentials and the API access tokens they create. The User is responsible for activity performed under their account or tokens. Tokens and active sessions can be revoked at any time in Settings.

2.4. The costs of means of distance communication (in particular the internet connection) are borne by the User.

2.5. The Contract is concluded in Czech (in English for users of the English version) and is not made in paper form. The current Terms are permanently available at getcortex.online/terms; the Provider will send previous versions by e-mail on request.

3. The Service Is Free

3.1. The Service is provided free of charge to all users, with all features. There is no paid version, no trial period and no feature that requires payment.

3.2. The Provider may develop and change the scope of the Service. The Provider will announce any substantial restriction of the Service reasonably in advance by e-mail or in the app.

3.3. Optional modules (e.g. invoicing, personal finance, journal, health and energy, supplements) are switched on by the User in Settings. The Service is a tool for the User's own records; it does not provide tax, accounting, legal or medical advice. The User is responsible for the correctness and lawfulness of documents they issue in the Service and for decisions made based on the Service's calculations (e.g. tax estimates).

3.4. Data taken from public registers (ARES) and exchange rates of the Czech National Bank are for information only.

4. Voluntary Support

4.1. The User may voluntarily support the operation and development of the Service with a recurring payment (the "Support") of EUR 1 per month or EUR 12 per year, or in another currency offered in the app (CZK 25 per month or CZK 290 per year, or USD 1 / USD 12). The amounts are final; the Provider is not a VAT payer.

4.2. Support unlocks no feature and no other advantage. A supporter only receives a thank-you and a cosmetic supporter badge. Not paying or ending the Support has no effect on the scope of the Service.

4.3. Payments are processed by Stripe Payments Europe, Ltd. (Ireland) through the Stripe payment gateway. The User enters card details directly into the Stripe payment gateway; the Provider does not receive them.

4.4. The Support renews automatically for the next monthly or yearly period until the User ends it. It can be ended at any time in the app (More → Support CORTEX → Manage support) or by e-mail to info@getcortex.cz. Ending takes effect at the end of the period already paid; the amount for the current period is not refunded, except as provided in Article 4.6.

4.5. Stripe sends the User a payment confirmation by e-mail. The Provider will issue a receipt for a payment on request.

4.6. A User who is a consumer has the right to withdraw from the Support contract without giving a reason within 14 days of its conclusion (Section 1829 of the Civil Code) by e-mail to info@getcortex.cz. The Provider will then refund the payment received within 14 days of the withdrawal, using the same means by which it was received.

4.7. Deleting the user account ends the Support automatically.

5. Rules of Use

5.1. The User must not use the Service contrary to the law or good morals; in particular, the User must not: upload unlawful content; harass other users in community features (buddies, alliances, chat); send unsolicited messages through the Service (invoices may be sent only to the User's own clients); compromise the security of the Service or load it beyond the API limits.

5.2. In case of a breach, the Provider may remove the content concerned and, in serious or repeated cases, suspend the account or terminate the Contract under Article 8.2. The Provider will inform the User of the reason unless the law prevents it. Inappropriate content of other users can be reported directly in the app.

5.3. Content uploaded to the Service by the User remains the User's. The User grants the Provider a non-exclusive right to store, back up and display this content to the extent necessary to operate the Service (including displaying it to people the User chooses to share it with).

5.4. The software, design and texts of the Service are protected by copyright. The User may use them free of charge to the extent of ordinary use of the Service for the duration of the Contract.

6. Availability, Defects and Liability

6.1. The Provider operates the Service with professional care but does not guarantee its continuous availability (maintenance, outages). Service data are backed up daily; we recommend exporting important data regularly (Settings → Data).

6.2. Rights arising from defective performance are governed by the relevant provisions of the Civil Code (for consumers in particular Section 2389a et seq. on the supply of digital content and services).

6.3. Defects can be reported (complaints) by e-mail to info@getcortex.cz. The Provider will settle the complaint without undue delay, within 30 days at the latest.

6.4. To the extent permitted by law, the Provider is not liable for lost profit or indirect damage, nor for data loss caused by the User. This does not affect liability for damage caused intentionally or by gross negligence, nor consumer rights that cannot be limited by contract.

7. Processing of Personal Data on Behalf of the User

7.1. Where the User enters personal data of other people into the Service for the purposes of their business or other activity (in particular data about clients and their contact persons in the Invoicing module, recipients of invoices), the User is the controller of those data and the Provider is the User's processor. This Article constitutes a data processing agreement under Article 28(3) of Regulation (EU) 2016/679 (GDPR).

7.2. The processing consists of storing, displaying, backing up and deleting data, generating documents (PDF) and sending e-mails on the User's instruction, for the duration of the Contract. It concerns identification, contact and billing data of the User's clients and business partners.

7.3. The Provider processes these data only on the User's instructions, given by using the functions of the Service and by these Terms, and does not use them for any purpose of its own. If the Provider believes an instruction infringes the law, it will inform the User.

7.4. The Provider ensures the confidentiality of persons with access to the data and implements technical and organisational measures under Article 32 GDPR (in particular encrypted transfer, separation of each user's data at database level, controlled and logged administrative access, regular backups).

7.5. The User gives a general authorisation to engage the further processors listed in the Privacy Policy. The Provider will announce an intended change in advance by updating the Privacy Policy; the User may object to the change or terminate the Contract.

7.6. The Provider assists the User to a reasonable extent with obligations towards data subjects (in particular through the export and deletion functions) and with obligations under Articles 32 to 36 GDPR, notifies the User of a personal data breach without undue delay and provides the information needed to demonstrate compliance.

7.7. When the Contract ends, the data are deleted together with the account (Article 8.1) and disappear from backups within 14 days. The User can export the data before deletion.

7.8. The User is responsible for having a legal basis for processing their clients' data and for informing them about the processing.

8. Termination

8.1. The User may terminate the Contract at any time by deleting the account in Settings. The deletion is confirmed via a link sent by e-mail and is carried out after a 7-day period during which it can be cancelled. Before the deletion, the User is offered a data export. Deleting the account irreversibly removes all of the User's data, including uploaded files and documents issued in the Invoicing module; archiving them as required by tax and accounting regulations is the User's responsibility.

8.2. The Provider may terminate the Contract with 30 days' notice sent by e-mail (e.g. if the Service is discontinued), and without notice in case of a serious or repeated breach of these Terms.

9. Out-of-court Settlement of Consumer Disputes (ADR) and Supervision

9.1. If a dispute arises between the Provider and a User who is a consumer from the Contract or the Support contract and cannot be resolved by agreement, the consumer may submit a proposal for out-of-court settlement to the designated entity for out-of-court settlement of consumer disputes, which is:

Česká obchodní inspekce
Ústřední inspektorát – oddělení ADR
Štěpánská 15
120 00 Praha 2
E-mail: adr@coi.cz
Web: adr.coi.cz

9.2. Consumer protection is supervised by the Czech Trade Inspection Authority, personal data protection by the Office for Personal Data Protection, and compliance with the trade licence by the competent trade licensing office.

10. Final Provisions

10.1. The Contract is governed by the law of the Czech Republic. This does not affect rights granted to a consumer by mandatory provisions of the country of their habitual residence.

10.2. The Provider may change these Terms reasonably, in particular due to changes in legislation, development of the Service or security. The Provider will notify the User of a change by e-mail or in the app at least 30 days before it takes effect. If the User disagrees with the change, the User may terminate the Contract before it takes effect by deleting the account.

10.3. These Terms take effect on the CORTEX 2 launch date and replace the terms and conditions effective from February 5, 2026.
